On 10 November 2005, the Federal Service for Financial Markets of Russia (FSFM) registered share issues and share placement reports filed by the companies spun off from OAO "Lipetskenergo", OAO "Mordovenergo", OAO "Arkhenergo", OAO "Voronezhenergo", OAO "Penzaenergo", OAO "Nizhnovenergo", OAO "Vologdaenergo", OAO "Karelenergo". The securities regulator registered the share issues and share placement reports of the following companies: OAO "Lipetsk Trunk Grids", OAO "Mordovia Trunk Grid Company", OAO "Arkhangelsk Trunk Grid Company", OAO "Voronezh Trunk Grid Company", OAO "Penza Trunk Grid Company", OAO "Nizhny Novgorod Trunk Grid Company", OAO "Vologodskaya CHPP", and OAO "Karelia Trunk Grids".
According to the Resolutions on share issuance and share placement reports, the following amounts of shares were issued:

- 155,521,950 uncertificated registered ordinary shares, par value RUB2,469 per share, for a total value of RUB383,983,694.55. The state registration number assigned to the share issue is 1-01-55124-E.

2. "Mordovia Trunk Grid Company":
- 1,345,037,710 uncertificated registered ordinary shares, par value RUB0.21 per share, for a total value of RUB282,457,919.1. The state registration number assigned to the share issue is 1-01-55122-E.

3. OAO "Arkhangelsk Trunk Grid Company":
- 1,715,146,860 uncertificated registered ordinary shares, par value RUB0.3 per share, for a total value of RUB514,544,058. The state registration number assigned to the share issue is 1-01-55133-E;

Information for the attention of stock market participants:
Shares in the spin-off companies were distributed among the shareholders of the company reorganized through spin-off.
Shareholders in the reorganized regional energo are entitled to receive, for each share of the class (type) held by them, shares of the same class (type) in each of the newly established companies, at a ratio determined in the resolution on the reorganization.
The date on which the shares in the spin-off companies are placed is the date of state registration of the companies established as a result of regional energos' reorganization. The new shares are to be credited to the securityholder accounts with registrars and to the securities safekeeping accounts with securities depositories in accordance with the records in the share register of the regional energo as at such date.
The new shares are to be credited to the securityholder accounts by the Registrar maintaining the share registers of the newly established companies.
